1. Agreement to Terms

By creating an account, accessing, or using the Doorman mobile apps, web dashboard, APIs, NFC tags, or related services (collectively, "Service"), you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you use Doorman on behalf of a school or district, you represent that you are authorized to bind that institution.

2. Who May Use the Service

  • Students must be currently enrolled at a participating school. For students under 13, the School/District acts as agent for parental consent under COPPA in the educational context.

  • Staff / Admins must use their official work email.

  • Doorman may suspend or terminate accounts that do not meet eligibility or violate these Terms.

3. Doorman's Role

Doorman provides software tools that help schools manage in-class smartphone restrictions and related compliance reporting. Doorman does not sell hardware; NFC tags are provided "as-is" for convenience. The Service may interface with third-party systems (e.g., PowerSchool, Google Workspace); those platforms are governed by their own terms.

4. User Responsibilities

You agree to:

  1. Access Control – Keep login credentials confidential; notify us of unauthorized use.

  2. Acceptable Use – No reverse engineering, bypassing security, or interfering with classroom policies; no use for unlawful, harmful, or harassing purposes.

  3. Student Data – Upload only accurate roster information and refrain from sharing personally identifiable student data except as necessary for legitimate educational interests.

5. Privacy & Data Security

Our data-handling practices are described in the Privacy Policy. Doorman is designed to align with U.S. student-data laws, including FERPA and applicable state privacy statutes. We implement encryption in transit and at rest, role-based access controls, and routine security audits.

6. Software License

Subject to these Terms, Doorman grants you a limited, non-exclusive, non-transferable license to install and use the Doorman apps on Apple- or Android-branded devices owned or controlled by you. All rights not expressly granted are reserved by Doorman.

7. Updates & Availability

We may push automatic updates to improve or modify the Service. Planned maintenance windows will be announced on our status page when possible. We make reasonable efforts to ensure 99.5 % uptime but do not guarantee continuous availability.

8. Fees & Payment

Some Doorman features are provided on a subscription basis to schools ("Paid Plans"). Prices, billing schedules, and renewal terms are stated in the quote or purchase order. Unpaid invoices may result in suspension after 30 days' notice.

9. Intellectual Property

Doorman, its logo, and all related marks are the property of Derivative LLC. You may not use these marks without prior written consent. User-generated content remains yours, but you grant Doorman a worldwide, royalty-free license to host and display it solely to operate the Service.

10. Third-Party Links & Integrations

The Service may contain links to or integrate with third-party sites and services. Doorman is not responsible for their content, availability, or practices.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOORMAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Schools remain solely responsible for enforcing device-usage rules and any discipline arising from violations.

12. Limitation of Liability

IN NO EVENT WILL DOORMAN'S TOTAL LIABILITY EXCEED THE FEES PAID BY THE SCHOOL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. DOORMAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL.

13. Indemnification

You (and any school you represent) agree to indemnify and hold harmless Doorman and its officers, directors, employees, and agents from any claims, damages, or expenses arising out of your use of the Service or violation of these Terms.

14. Termination

You may stop using the Service at any time. We may suspend or terminate access with notice if you violate these Terms or if required by law. Sections 9 – 14 survive termination.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, excluding its conflicts-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Orange County. The parties waive jury trial to the fullest extent permitted.

16. Changes to Terms

We may update these Terms. Material changes will be announced via in-app notice or email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
